These Terms of Service (“Terms”) govern your access to and use of the ComplianceDDS platform (“Service”), operated by ComplianceDDS Inc. (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Service Description
ComplianceDDS is a cloud-based compliance management platform designed for dental practices in Ontario and across Canada. The Service helps practices track regulatory requirements, manage staff credentials and certifications, maintain equipment and safety records, and generate compliance reports.
The Service is a management and tracking tool. It does not constitute legal, regulatory, or professional advice. You are responsible for ensuring your practice meets all applicable regulatory requirements. ComplianceDDS facilitates compliance management but does not guarantee regulatory compliance.
2. Account Registration and Responsibilities
2.1 Eligibility
The Service is intended for use by licenced dental professionals, practice managers, and authorized staff members within dental practices. You must be at least 18 years of age to create an account.
2.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Promptly notifying us of any unauthorized access or security breach.
- Ensuring that staff accounts are assigned only to authorized individuals within your practice.
2.3 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. We reserve the right to suspend accounts that contain materially inaccurate information.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
- Use the Service in any way that violates applicable federal, provincial, or local law.
- Enter false or misleading compliance records or credential information.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Upload malicious files, viruses, or harmful code.
- Interfere with or disrupt the Service or its infrastructure.
- Reproduce, redistribute, or resell the Service or any part thereof without our written consent.
- Use automated tools to scrape, crawl, or extract data from the Service.
4. Subscription and Billing
4.1 Plans and Pricing
The Service is offered on a subscription basis. Current pricing and plan details are available on our website. We reserve the right to modify pricing with 30 days’ notice to existing subscribers.
4.2 Payment
Payments are processed through Lemon Squeezy, our third-party payment provider. By subscribing, you agree to Lemon Squeezy’s terms of service for payment processing. Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan.
4.3 Refunds
Subscription fees are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.
5. Your Data
5.1 Ownership
You retain all rights to the data you enter into the Service, including practice information, staff records, compliance data, and uploaded documents. We do not claim ownership of your data.
5.2 Licence to Us
By using the Service, you grant us a limited licence to store, process, and display your data solely for the purpose of providing and improving the Service. This licence terminates when you delete your data or close your account.
5.3 Data Export
You may export your data at any time through the platform’s export features. Upon account termination, we will make your data available for export for 90 days before it is permanently deleted.
6. Intellectual Property
The Service, including its software, design, logos, documentation, and all related intellectual property, is owned by ComplianceDDS Inc. and protected by Canadian and international intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
The ComplianceDDS name, logo, and all related marks are trademarks of ComplianceDDS Inc. You may not use our trademarks without our prior written consent.
7. Service Availability
7.1 Uptime
We strive to maintain high availability of the Service and target 99.9% uptime on a monthly basis, excluding scheduled maintenance windows. However, we do not guarantee uninterrupted access and are not liable for downtime.
7.2 Maintenance
We may perform scheduled maintenance that temporarily limits access to the Service. We will provide reasonable advance notice of planned maintenance when possible.
7.3 Modifications
We reserve the right to modify, update, or discontinue features of the Service at any time. We will provide notice of material changes that significantly affect your use of the Service.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Service will meet your specific requirements, operate without interruption, or be error-free.
- In no event shall ComplianceDDS Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or regulatory penalties, arising from your use of or inability to use the Service.
- Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless ComplianceDDS Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.
10. Termination
10.1 By You
You may cancel your subscription and close your account at any time through the platform or by contacting us. Cancellation takes effect at the end of your current billing period.
10.2 By Us
We may suspend or terminate your access to the Service immediately if:
- You breach these Terms.
- Your payment fails and is not resolved within 14 days.
- We are required to do so by law.
- Your use of the Service poses a security risk to other users.
Where possible, we will provide notice and an opportunity to cure before termination except in cases of serious breach or legal requirement.
10.3 Effect of Termination
Upon termination, your right to use the Service ceases. Your data will be retained for 90 days to allow for export, after which it will be permanently deleted. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and governing law) will continue in effect.
11. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, for significant changes, by email at least 30 days in advance. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
13. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ComplianceDDS Inc. regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
